1. AGREEMENT TO TERMS

These Terms of Service ("Terms") constitute a legally binding agreement between you and MVP ("Company," "we," "us," or "our") concerning your access to and use of the MVP mobile application (the "App") and any related services (collectively, the "Services").

2. DESCRIPTION OF SERVICES

MVP is a team-based voting and performance evaluation platform that allows users to:

• Create and join teams
• Participate in voting sessions to rate team member performance
• View statistics and analytics based on voting results
• Communicate within team environments

3. ELIGIBILITY AND AGE REQUIREMENTS

Minimum Age Requirements

• Children under 13: Cannot use our Services under any circumstances (COPPA compliance)
• Teens 13-17: May use our Services with verified parental consent
• Adults 18+: May use our Services without restrictions

Account Requirements

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You must immediately notify us of any unauthorized use of your account

4. USER CONDUCT AND ACCEPTABLE USE

You agree NOT to use our Services to:

Prohibited Content:

• Post harmful, threatening, abusive, harassing, defamatory, or discriminatory content
• Share inappropriate sexual content or nudity
• Post spam, advertising, or promotional material
• Share false, misleading, or inaccurate information
• Violate any laws or regulations

Prohibited Activities:

• Impersonate others or create false identities
• Attempt to gain unauthorized access to other users' accounts
• Interfere with or disrupt the Services or servers
• Use automated tools (bots, scripts) without permission
• Collect or harvest user information without consent

Team and Voting Conduct:

• Create teams with inappropriate names or purposes
• Manipulate voting results or create fake votes
• Use voting features to harass or target individuals
• Share team information outside the intended group without permission

5. USER-GENERATED CONTENT

Your Content

• You retain ownership of content you post (team names, voting comments, etc.)
• By posting content, you grant us a license to use, display, and distribute it within our Services
• You represent that you have the right to post your content

Content Standards

All user-generated content must:

• Comply with these Terms and our Community Guidelines
• Respect other users' privacy and dignity
• Be appropriate for a diverse, global audience
• Not infringe on intellectual property rights

Content Moderation

We reserve the right to:

• Review, monitor, and moderate all user-generated content
• Remove content that violates these Terms
• Suspend or terminate accounts for policy violations
• Use automated tools to detect inappropriate content

6. TEAM MANAGEMENT AND VOTING

Team Creation and Administration

• Team creators automatically become team administrators
• Administrators can manage team membership and settings
• Teams may be deleted if they violate our policies

Voting System

• Voting results are used for team performance evaluation only
• Vote manipulation or abuse may result in account suspension
• We may anonymize voting data for statistical purposes
• Voting history may be preserved even after account deletion for data integrity

Team Ownership Transfer

• If a team administrator deletes their account, ownership transfers to the next senior member
• Teams with no active members will be automatically deleted
• We are not responsible for disputes over team ownership

7. PRIVACY AND DATA PROTECTION

Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

• We collect only necessary information to provide our Services
• We do not sell your personal data to third parties
• You can delete your account and data at any time
• We comply with GDPR, CCPA, and other applicable privacy laws

8. INTELLECTUAL PROPERTY RIGHTS

Our Content

The Services and their original content, features, and functionality are owned by MVP and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

User License

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use our Services for personal, non-commercial purposes.

9. DISCLAIMERS AND LIMITATIONS

Service Availability

• Services are provided "as is" and "as available"
• We do not guarantee uninterrupted or error-free service
• We may suspend or terminate Services for maintenance or other reasons

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We are not liable for any indirect, incidental, or consequential damages
• Our total liability shall not exceed the amount you paid us in the last 12 months
• We are not responsible for user-generated content or interactions between users

Disclaimers

• We do not endorse any user-generated content
• Voting results are for entertainment and team-building purposes only
• We make no warranties about the accuracy of voting or statistical data

10. INDEMNIFICATION

You agree to indemnify and hold harmless MVP and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Content you post or share through our Services

11. ACCOUNT SUSPENSION AND TERMINATION

Our Right to Terminate

We may suspend or terminate your account immediately, without notice, for:

• Violation of these Terms or our policies
• Fraudulent, abusive, or illegal activity
• Extended inactivity
• Technical or security reasons

Your Right to Terminate

You may delete your account at any time through the app's Settings menu. Upon deletion:

• Your account and personal data will be permanently removed
• You will be removed from all teams
• Your voting history will be anonymized but may be retained for statistical integrity

Effect of Termination

Upon termination:

• Your right to use the Services immediately ceases
• Provisions regarding intellectual property, disclaimers, and limitations of liability survive termination

12. DISPUTE RESOLUTION

Governing Law

These Terms are governed by the laws of the applicable jurisdiction without regard to conflict of law principles.

Dispute Resolution Process

1. Informal Resolution: Contact us at TopFlopApp@proton.me to resolve disputes informally
2. Mediation: If informal resolution fails, disputes will be resolved through binding mediation
3. Arbitration: Any unresolved disputes will be subject to binding arbitration

Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class action lawsuits.

13. CHANGES TO TERMS

We reserve the right to modify these Terms at any time. Changes will be effective upon posting in the app or on our website. Continued use of our Services after changes constitutes acceptance of the new Terms.

Material changes will be communicated through:

• In-app notifications
• Email notifications (if provided)
• Prominent notices in the app

14. COMPLIANCE WITH LAWS

You agree to comply with all applicable local, state, national, and international laws and regulations in your use of our Services.

Specific Compliance Requirements:

• Do not use Services in countries where prohibited

• Respect intellectual property rights
• Follow data protection regulations in your jurisdiction

15. COMMUNITY GUIDELINES

Respectful Interaction

• Treat all team members with respect and courtesy
• Use constructive feedback in voting and discussions
• Respect cultural and personal differences

Fair Play

• Vote honestly and fairly based on actual performance
• Do not coordinate voting to target specific individuals
• Report abuse or inappropriate behavior

Team Responsibility

• Team administrators are responsible for maintaining appropriate team environments
• Members should communicate concerns to team administrators first
• Persistent issues should be reported to our support team

16. TECHNICAL REQUIREMENTS

Device and Software Requirements

• Compatible mobile device with supported operating system
• Stable internet connection
• Latest version of the app for optimal security and functionality

User Responsibilities

• Keep your app updated to the latest version
• Maintain adequate device security (screen locks, etc.)
• Use secure networks when accessing sensitive team information

18. SEVERABILITY
